1. Scope and acceptance
These terms govern the use of the e-invoicing portal provided by Jagaad S.r.l., VAT no. IT11415770962, Via Copernico 38, 80125 Milano (MI) (the "Provider"). By registering or using the service, the user declares to have read and accepted these terms. The service is intended for professionals and businesses and is not aimed at consumers.
2. Description of the service
The portal lets you create electronic invoices in FatturaPA XML format, send them to the Sistema di Interscambio (SdI), view their outcomes, receive purchase invoices where included in the plan, and store them in compliance with the law. Available features depend on the chosen plan.
3. Registration and account
To use the service you must create an account providing true and complete data. The user is responsible for keeping credentials safe and for all activity carried out with their account, and must promptly inform the Provider of any unauthorised access.
4. Plans, fees and payment
Plans and fees are shown on the Pricing page, excluding VAT. Fees are due according to the billing period of the chosen plan and are invoiced electronically to the user. In case of non-payment the Provider may suspend the service after reasonable notice. Price changes will be notified at least thirty days in advance and do not apply to the period already paid.
5. User obligations
The user agrees to:
- enter correct and up-to-date data, being solely responsible for the content, tax correctness and issuing of their invoices;
- comply with applicable tax and data protection law, including obligations towards their own customers;
- not use the service for unlawful or fraudulent activity or in a way that could harm its security or operation;
- not attempt to access other users' data or circumvent security measures.
6. Service availability
The Provider undertakes to make the service available with the professional diligence required, but does not guarantee uninterrupted operation. Scheduled or urgent maintenance may cause suspensions. The user acknowledges that sending and delivery of invoices also depend on the operation of the Sistema di Interscambio and other third parties outside the Provider's control.
7. Limitation of liability
To the extent permitted by law, the Provider is not liable for indirect damages, lost profits or penalties arising from incorrect data entered by the user, delays or malfunctions of the Sistema di Interscambio, force majeure or misuse of the service. Liability for wilful misconduct or gross negligence remains unaffected. In all other cases the Provider's total liability is limited to the fees paid by the user in the twelve months preceding the event.
8. Intellectual property
The software, trademarks, texts and content of the portal belong to the Provider or its licensors. The user is granted a personal, non-exclusive, non-transferable right of use for the term of the contract. Data entered by the user remains their exclusive property.
9. Personal data protection
Processing of personal data is described in the privacy policy. For the personal data of the user's customers and suppliers contained in invoices, the Provider acts as data processor under the data processing agreement available on request.
10. Term, withdrawal and suspension
The contract has no minimum term. The user may withdraw at any time from account settings or by writing to info@portalefatturazione.it, effective at the end of the period already paid. The Provider may suspend or terminate the contract in case of serious breach of these terms. On termination the user may export their documents within a reasonable period communicated by the Provider; tax record-keeping obligations remain with the user for documents no longer held by the portal.
11. Changes to the terms
The Provider may amend these terms for legal, technical or organisational reasons. Material changes are notified to users at least thirty days in advance, during which the user may withdraw. Continued use of the service after that period means acceptance of the changes.
12. Governing law and jurisdiction
The contract is governed by Italian law. The courts of the Provider's registered office have exclusive jurisdiction over any dispute, unless mandatory law provides otherwise.
